TechnoVision agrees to perform software development, web engineering, mobile application creation, UI/UX design, and digital marketing services as defined in individual Statement of Work (SOW) documents executed between TechnoVision and the Client.
Upon receipt of 100% full payment for completed project milestones as specified in the agreed SOW, TechnoVision transfers all right, title, and interest in and to the custom deliverables, including custom source code, database schemas, graphic designs, and repository keys to the Client.
Both parties agree to treat all technical specifications, business logic, customer records, and commercial proposals as strictly confidential. Neither party shall disclose proprietary information to third parties without prior written consent.
Services are invoiced based on agreed milestone schedules or time-and-materials arrangements. Invoices are payable within 15 calendar days of receipt. Milestone sign-off triggers subsequent phase commencement.
TechnoVision provides 30 to 90 calendar days of post-deployment warranty support to resolve any reproducible software defects at no extra charge. Ongoing server administration, security patching, and upgrades are covered under separate Service Level Agreements (SLAs).
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in Navi Mumbai, Maharashtra, India.
